1. Acceptance of Terms
By accessing or using the Services, you agree to be bound by these Terms of Use and our Privacy Policy. If you do not agree, you must not use the Services. Terms may change from time to time; continued use means acceptance of the updated terms.
2. Eligibility
You must be at least 16 years old and capable of entering into a legally binding agreement to use the Services. If you are accessing the Services on behalf of an organization (such as a law firm, legal organization or educational institution), you represent that you are authorized to bind that organization to these Terms.
3. Purpose of Trial Run
The Services are provided solely for educational, training, skills development and practice simulation. Trial Run and its AI-generated outputs do not constitute legal advice, a law firm–client relationship, or a substitute for licensed legal counsel. Using Trial Run does not create an attorney-client or fiduciary relationship with Praxium and/or Trial Run. Any simulated witnesses, judges, counsel, or other referenced individuals or entities, even if resembling actual individuals or entities, should be considered to be fictionalized and not reflect real-world outcomes. You are solely responsible for any decisions made based on your use of the Services.
4. User Accounts
Some features may require you to create an account. You are responsible for: Providing accurate registration information; Notifying us of any unauthorized access; Maintaining the confidentiality of your login credentials; The accuracy and legality of any documents or facts uploaded, and; Complying with all applicable laws, bar-association ethics rules, and institutional policies. You are responsible for all activity occurring under your account, or activity which you cause to occur.
5. Permitted Use
You agree to use the Services only for lawful, educational purposes. You may not: Use the Services to provide or market legal services; Copy, distribute, or modify our content without permission; Reverse-engineer, interfere with, or disrupt the platform, or; Upload unlawful, defamatory, or infringing content.
6. Intellectual Property
All content, features, and functionality of the Services, including software, design, text, graphics, logos, and AI-generated outputs, are the exclusive property of The Praxium Group LLC and its licensors. You are granted a limited, non-exclusive, non-transferable license to use the Services for your personal or organizational educational use. You retain rights to your uploaded documents but grant Trial Run a limited license to process and store them for simulation purposes. You may not copy, redistribute, or resell the platform without written consent.
7. AI-Generated Content
Trial Run uses generative AI. Outputs may contain inaccuracies, biases, or hallucinated information. You must review and validate all outputs before relying on them in real-world matters. We make no promise that simulations, strategies, or analyses will predict or improve actual case outcomes.
8. Privacy & Data Handling
You should avoid uploading client-identifying data unless authorized; uploaded materials are processed solely for simulation. We apply commercially reasonable security measures but cannot guarantee 100% security.
9. Payment and Subscriptions
If you purchase access to paid features, you agree to pay all applicable fees as described at the time of purchase. Fees are non-refundable except as required by law.
10. Disclaimer of Warranties
The Services are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied. We make no guarantee that the Services will be accurate, reliable, error-free, or meet your expectations.
11. Limitation of Liability & Indemnification
You agree to indemnify and hold Trial Run and The Praxium Group harmless for claims arising from your misuse of the service, uploaded data, or violation of laws. To the maximum extent permitted by law, The Praxium Group LLC, including but not limited to its founders, directors, agents, employees, contractors, and affiliates, shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Services. Damages are limited to the fees you paid in the past 12 months.
12. Exclusion of Consequential Damages
The Praxium Group and Trial Run will have no liability for lost profits, data loss, business interruption, etc. You agree to indemnify and hold harmless The Praxium Group LLC and Trial Run, including but not limited to its founders, directors, agents, employees, contractors, and affiliates, from and against any claims, damages, liabilities, costs, or expenses arising from your use of the Services or violation of these Terms.
13. Termination
We may suspend or terminate your access to the Services at any time, without notice, if you violate these Terms or engage in unlawful or harmful conduct.
14. Governing Law & Arbitration
These Terms are governed by and construed in accordance with the laws of the State of Colorado, without regard to conflict of law principles. You agree to submit to the exclusive jurisdiction of the state and federal courts located in Colorado. Any dispute, claim, or controversy arising out of or relating to these Terms or the use of Trial Run shall be exclusively submitted to and finally resolved by binding arbitration administered by JAMS, in its Denver, Colorado office, under the JAMS Comprehensive Arbitration Rules and Procedures in effect at the time of the arbitration. Judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction. The parties waive the right to trial by jury and agree that venue for any judicial proceeding related to enforcement of the arbitration award shall lie exclusively in the state or federal courts located in Douglas County, Colorado.
15. Changes to Terms
We may update these Terms from time to time. If we make material changes, we will notify you by updating the "Effective Date" above. Continued use of the Services after changes constitutes acceptance of the new Terms.
